Contract Complexity

A measure of the difficulty of understanding a Contract.

It considers factors including:

  • the familiarity of the subject matter and technical language used
  • the readability of the terms
  • the density of inter-clause dependencies
  • the number of unstated but implied obligations, the total word count
  • the number of separate documents that comprise the whole Agreement.

Rule of thumb: the more complex a Contract, the more it needs and takes to be managed.
