The Agent assesses the factors that could make exiting a vendor difficult or risky:

• Contractual exit: Notice periods, termination rights, penalties and lock-in.
• Operational dependency: How disruptive replacing the vendor could be.
• Data and transition: Data return, deletion and transition assistance obligations.
• Continuity: Whether an alternative can realistically be put in place in time.

This gives your team a clearer view of what an exit would involve before making a non-renewal decision.

The Agent surfaces the contractual obligations, operational dependencies and transition requirements that need to be addressed.

This helps your team identify potential blockers early and understand what would need to be resolved before exiting the relationship.

The Agent provides a Low risk, Manageable or High risk exit-feasibility rating, supported by a structured breakdown of the evidence.

It also identifies where the contract is silent on important exit protections, helping your team see where additional planning may be required.

The Agent reviews:

• The vendor contract.
• Relationship or dependency information.
• Vendor Tier.
• Notice Period (Days).

Dependency information must be available on the card or provided as an uploaded document.

Every Agent action is recorded in Gatekeeper with a timestamp, including the criteria applied, decision made, supporting evidence and reasoning where applicable.

This creates a searchable record of how each outcome was reached, supporting compliance verification, internal review and audit requirements.
