Terminate for Cause

A Contract may identify the conditions under which an involved Party could Terminate it due to another Party's material Breach of Contract.

This can include

  • Becoming Bankrupt or Insolvent
  • Failing to perform Obligations due to a Force Majeure event.
  • Poor performance

Depending on the nature of the breach, the non-breaching Party may terminate the Contract immediately with or without Notice.

They could also provide the breaching Party with prior Notice and an opportunity to Cure the breach within a certain time frame.

After this timeframe, the Contract may be Terminated if the breach remains uncured.
